You confirm that you have full legal authority and capacity to enter into these Terms, whether on your own behalf or as an authorized representative of a legal entity.
3.3 Restricted persons
By using the Services, you confirm that you are not, and are not acting on behalf of:
- a person located in, resident of, incorporated in, or with a registered office in any jurisdiction subject to comprehensive sanctions by the United States, the United Kingdom, the European Union or the United Nations, including but not limited to Cuba, Iran, North Korea, Myanmar (Burma), Syria, or the regions of Crimea, Donetsk or Luhansk;

- any person whose use of the Services would cause Najm Protocol to breach applicable laws, including anti-money laundering (AML) and counter-financing of terrorism (CFT) requirements.
3.4 Your jurisdiction
You are solely responsible for determining whether your use of the Services is lawful where you are. We make no representation that the Services are appropriate, legal or available in every jurisdiction. Access from jurisdictions where the Services are illegal or restricted is prohibited.
4. The Services
4.1 Overview
Najm Protocol is a non-custodial, Shariah-screened token swap service. It currently supports six EVM blockchains: Ethereum, Arbitrum, Optimism, Base, Polygon and BNB Chain. The Services:
- show tokens reviewed by the Shariah Lead, with their Ruling and market information;
- obtain swap quotes from Third-Party DEX aggregators, restricted to approved venues;
- check each quote against the Shariah rules described in Section 5 before it is offered to you; and
- prepare a transaction for you to review and sign in your own Wallet.
4.2 No smart contracts of our own
Najm Protocol does not currently operate its own smart contracts for swaps. When you sign a swap, your Wallet sends the transaction directly to the router contract of a Third-Party DEX aggregator. The Services only allow transactions addressed to router contracts on Najm Protocol's verified list.
4.3 Non-custodial
Najm Protocol never holds, controls or takes custody of your digital assets, private keys or seed phrase. You sign every transaction yourself, and you keep full ownership and control of your assets at all times.
4.4 Third-Party Services
Swaps are executed by Third-Party Services. Najm Protocol does not operate them and has no control over their functioning, availability, pricing, liquidity or smart contract security. Your use of Third-Party Services is at your own risk and may be subject to their own terms.
4.5 Availability and changes
We do not guarantee that the Services will be available at all times or free from interruption. We may modify, suspend or discontinue the Services, or any part of them, at any time and without notice, and we are not liable for doing so. The Services are under active development, and some features may be offered on a preview or trial basis.
4.6 Market information
Prices, market capitalization, volume and charts shown on the Interface are provided by third-party market data providers (currently CoinGecko). They are shown for information only, may be delayed or inaccurate, and are never used to decide a token's Ruling or whether a swap is allowed.
5. Shariah screening
5.1 Rulings
Each token shown on the Services has a Ruling (halal, doubtful or haram) set by the Shariah Lead, with a short statement of reasons. Rulings reflect the Shariah Lead's scholarly assessment of a token's structure, purpose and underlying activity at the time of review.
5.2 Only halal tokens can be swapped
Only tokens on the Approved Token List, identified by blockchain and exact contract address, can be swapped. Doubtful and haram tokens are shown for information only, so that you can see they have been reviewed and why. They cannot be swapped through the Services. A token with the same name or symbol at a different address is not approved.
5.3 Route checks
Before a swap is offered to you, the Services check that every token and every venue the swap would pass through is approved, and simulate the transaction from your Wallet's address to confirm it moves only the expected tokens. If any part of a route cannot be verified, the route is rejected. Not every request will therefore receive a quote.
5.4 Compliance Receipts
After a swap is confirmed, the Services read what actually moved on the blockchain and record a Compliance Receipt, which may be published on the Interface. Section 3 of our Privacy Policy describes what a Compliance Receipt contains.
5.5 Limits of the screening
- Rulings are a scholarly opinion. They are not a guarantee and not a fatwa binding on any individual. Scholars may differ, and you remain responsible for your own religious decisions.
- Rulings and the Approved Token List may change as projects change or new information emerges. A token previously ruled halal may later be ruled doubtful or haram, and the reverse.
- Route checks depend on technology and Third-Party Services and may fail or be incomplete despite our efforts. We do not warrant that every swap is free of all Shariah concerns.
- Shariah screening does not assess a token's financial merit, risk or suitability for you. A halal Ruling is not a recommendation to buy, hold or sell a token.
- Any obligation that may arise from your own holdings or trades, such as zakat or the purification of impermissible income, is your own responsibility.
6. Your Wallet
6.1 To swap, you must connect a compatible non-custodial Wallet. Wallet connections are provided through a third-party wallet-connection service.
6.2 You are solely responsible for the security of your Wallet, private keys and seed phrase. Najm Protocol cannot recover lost keys or reverse any transaction. We will never ask for your private key or seed phrase.
6.3 You may disconnect your Wallet at any time.
6.4 Every transaction is signed by your Wallet and broadcast to a public blockchain. Once confirmed, transactions are final and irreversible. Before signing, review the details shown by your Wallet, including the receiving contract, the amounts and the network fee.
6.5 Token approvals requested by the Services are limited to the exact amount needed for the swap you are making.
7. Fees and costs
7.1 Najm fees
Najm Protocol does not currently charge a fee for swaps made through the Services. We may introduce fees in the future, such as a percentage of each swap. Any fee will be shown on the Interface before it applies, and before you sign each swap.
7.2 Network fees
Blockchain transactions require network ("gas") fees. These are set by the network, are outside Najm Protocol's control and are not refundable, whether a transaction succeeds or fails.
7.3 Third-party fees
Third-Party Services, including the exchanges and pools your swap passes through, may charge their own fees (such as liquidity provider fees), which are generally reflected in the quoted output amount. These are not collected by Najm Protocol.
7.4 Taxes
You are solely responsible for any taxes arising from your use of the Services.
8. Prohibited uses
8.1 You must use the Services only for lawful purposes and in line with these Terms. You must not use the Services:
- in breach of any applicable law or regulation, including laws on anti-money laundering, counter-financing of terrorism, anti-corruption or sanctions;
- to engage in market manipulation, wash trading, front-running, spoofing or other abusive trading practices;
- to transfer or use digital assets you do not own or are not authorized to use;
- to defraud, exploit or harm any person;
- to use automated means (bots, scripts, crawlers or scrapers) in a way that places excessive load on the Services or gets around their limits or access controls;
- to introduce viruses, malware or other malicious code;
- to attempt to gain unauthorized access to the Services or any related systems or databases;
- to interfere with the integrity or performance of the Services, or with other users' access to them;
- in connection with any fraudulent, deceptive or illegal scheme; or
- in a way that misrepresents the Services, a Ruling or a Compliance Receipt, or that could damage the reputation of Najm Protocol.
8.2 We may restrict or end your access to the Services immediately and without notice if we determine, in our sole discretion, that you have breached or are likely to breach this Section.
9. Risks
9.1 Acknowledgment of risk
By using the Services, you acknowledge and accept that:
- blockchain technology and smart contracts are experimental and may suffer technical failures, bugs or exploits that result in the loss of your digital assets;
- digital asset prices are highly volatile, and tokens may lose most or all of their value;
- blockchain transactions are irreversible once confirmed, and assets lost through user error, failed transactions or network issues cannot be recovered by Najm Protocol;
- swaps are executed by Third-Party Services, whose security, availability, pricing and liquidity Najm Protocol does not control;
- the amount you receive may differ from the quote because of market movements, slippage or network delays, within the minimum amount shown before you sign;
- the Services and Third-Party Services may be subject to cyberattacks;
- laws and regulations for digital assets are uncertain and changing, and may affect the availability of the Services where you are; and
- Rulings and route checks have the limits described in Section 5.5.
9.2 No insurance
Digital assets are not protected by any deposit insurance, government guarantee or financial regulatory protection scheme. You may lose your entire investment.
9.3 Your responsibility
You are solely responsible for your own due diligence before any swap, including whether a token is suitable for you, the network fees involved and the transaction details you sign.
10. No warranties
10.1 The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory.
10.2 To the fullest extent permitted by law, Najm Protocol disclaims all warranties, including any warranty:
- of merchantability, fitness for a particular purpose or non-infringement;
- that the Services will be uninterrupted, timely, secure or error-free;
- as to the accuracy, reliability or completeness of any information on the Services, including prices, quotes, routes, Rulings and Compliance Receipts; and
- that defects will be corrected.
10.3 Information on the Services is for information only. Nothing on the Services is an offer to buy or sell, a solicitation, or financial, investment, legal or tax advice.
10.4 Nothing in the Services creates any fiduciary, advisory or professional duty between Najm Protocol and you.
11. Limitation of liability
11.1 To the maximum extent permitted by law, Najm Protocol and its team members, Shariah advisers, contributors, agents and affiliates are not liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, including:
- loss of digital assets, profits, revenue or data;
- losses from the execution of, or failure to execute, any transaction;
- losses from smart contract bugs, exploits or failures, including those of Third-Party Services;
- losses from price volatility, slippage or market movements;
- losses from unauthorized access to the Services or your Wallet;
- losses from interruptions or unavailability of the Services or blockchain networks;
- losses from reliance on any information on the Services, including Rulings, quotes and market data; and
- losses from events beyond our reasonable control.
11.2 These limitations apply whatever the legal basis of the claim, and even if Najm Protocol was advised of the possibility of such damages.
11.3 Where the law does not allow liability to be fully excluded, Najm Protocol's total liability to you for all claims relating to these Terms or the Services will not exceed one hundred United States dollars (USD 100).
12. Indemnification
You agree to indemnify and hold harmless Najm Protocol and its team members, Shariah advisers, contributors, agents and affiliates from all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from:
- your access to or use of the Services;
- your breach of these Terms;
- your breach of any law or of the rights of any third party; or
- any misrepresentation you make in connection with the Services.
This does not apply to the extent a claim arises directly from Najm Protocol's own gross negligence or willful misconduct.
13. Intellectual property
13.1 All intellectual property rights in the Services, including the Interface, software, branding, trademarks, documentation, Rulings text and visual design, belong to Najm Protocol and its licensors.
13.2 Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Interface for your personal, non-commercial use.
13.3 You must not copy, reproduce, modify, distribute, publicly display or create derivative works from any part of the Services without our prior written consent. You may share links to token pages and Compliance Receipts.
13.4 The Najm Protocol name, logo and related marks are the marks of Najm Protocol and may not be used without our prior written permission.
13.5 The Services may include open-source software subject to its own licenses. Nothing in these Terms limits your rights under those licenses.
14. Privacy
How we handle information is described in our Privacy Policy. In short: we never collect your private keys or seed phrase, and Compliance Receipts do not store your wallet address.
15. Third-party links and services
15.1 The Services may link to or integrate with third-party websites and services. These are provided for convenience only and are not endorsements.
15.2 We have no control over third-party services and are not liable for any loss arising from your use of them. Your use of them is governed by their own terms and privacy policies.
16. Termination
16.1 You may stop using the Services at any time by disconnecting your Wallet and leaving the Interface.
16.2 We may restrict, suspend or end your access to the Services at any time and without notice, including where:
- you have breached, or we reasonably suspect you have breached, these Terms;
- we are required to by law, regulation or a competent authority;
- continued access poses a security, legal or reputational risk; or
- we discontinue the Services in whole or in part.
16.3 On termination, your right to use the Services ends. Your digital assets remain in your Wallet; Najm Protocol has no custody of them.
16.4 Sections that by their nature should survive termination, including Sections 5.5, 9, 10, 11, 12, 13, 17 and 18, continue to apply.
17. Governing law and disputes
17.1 Governing law
These Terms and any dispute arising from them are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai.
17.2 Informal resolution
Before starting formal proceedings, you agree to contact us at the address in Section 19 and give us at least thirty (30) days to try to resolve the dispute informally in good faith.
17.3 Arbitration
If a dispute is not resolved informally, it will be finally settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules then in force. The seat of arbitration is Dubai, UAE, and the language is English. There will be one (1) arbitrator for claims under USD 500,000 and three (3) arbitrators for larger claims.
17.4 Individual proceedings only
Disputes will be resolved individually. You waive any right to bring or take part in a class, collective or representative action relating to the Services or these Terms.
17.5 Urgent relief
Nothing in this Section prevents either party from seeking urgent interim relief from a competent court to prevent irreparable harm.
